- →Pay on time; we may suspend access for non-payment after 15 days.
- →We can terminate for ToS violations with reasonable notice.
- →Our liability is capped at the amount you paid us in the last 3 months.
Acceptance of Terms
By accessing or using the PriceParity platform, dashboard, API, or JavaScript SDK (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, you must not accept these Terms.
If you do not agree with any of these terms, you are prohibited from using or accessing the Services. We reserve the right to update these Terms at any time; continued use constitutes acceptance of the updated Terms.
Use License
Subject to your compliance with these Terms and timely payment of applicable fees, PriceParity grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
Under this license, you may not:
- Resell, sublicense, or white-label the Services without a written reseller agreement
- Attempt to decompile, reverse engineer, or extract source code from the platform
- Use the Services to build a competing PPP pricing product
- Bypass or attempt to circumvent our rate limiting, anti-fraud, or authentication systems
- Use automated scraping to extract PPP pricing data at scale
- Share your API key with third parties or publish it publicly
Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials, including your PriceParity API key. You must:
- Keep your API key secret — treat it like a password
- Notify us immediately at [email protected] if you suspect unauthorized access
- Ensure all users who access the dashboard under your account comply with these Terms
- Provide accurate and up-to-date account information
PriceParity is not liable for any loss resulting from unauthorized access to your account due to your failure to secure your credentials.
Subscription & Fees
PriceParity offers subscription plans billed through Paddle. By subscribing, you authorize Paddle to charge your payment method on a recurring basis according to your selected plan.
Price changes: We will provide 30 days' written notice before increasing subscription prices. You may cancel before the new pricing takes effect.
Failed payments: If payment fails, we will retry 3 times over 7 days. After 15 days of non-payment, access may be suspended. Data is retained for 60 days after suspension before deletion.
API Usage & Fair Use
Your subscription includes a specific API call allocation per month. Usage is tracked in real-time and visible in your dashboard.
We reserve the right to throttle or suspend accounts that abuse the API or attempt to circumvent rate limits. Automated price scraping is strictly prohibited.
Data Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
Merchant Data: You retain full ownership of your product data, pricing rules, and analytics. PriceParity processes this data only to provide the Services; we do not use it for advertising or sell it to third parties.
Visitor Data: When the PriceParity SDK is embedded on your website, visitor IP addresses are processed in real-time for geo-location. Raw IP addresses are not retained beyond 24 hours. You are responsible for disclosing this processing in your own privacy policy.

Intellectual Property
The Services, including all software, algorithms, documentation, trademarks, and visual design elements, are and remain the exclusive property of PriceParity Inc. These Terms do not transfer any IP rights to you.
Your Content: You grant PriceParity a limited, non-exclusive license to process your pricing rules and product data solely to provide the Services. This license terminates when you cancel your account.
Feedback: Any suggestions or feedback you provide about the Services may be used by PriceParity without restriction or compensation.
Warranties & Liability
Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.
Limitation of Liability: To the maximum extent permitted by applicable law, PriceParity shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability for any claim arising under these Terms shall not exceed the amount you paid to PriceParity in the three (3) months preceding the claim.
Indemnification: You agree to indemnify and hold harmless PriceParity from any claims arising from your use of the Services in violation of these Terms.
Termination
Either party may terminate these Terms at any time:
- You may cancel your subscription at any time via the dashboard. Cancellation takes effect at the end of the current billing cycle.
- PriceParity may terminate your access immediately for material violations of these Terms (fraud, abuse, illegal activity).
- PriceParity may terminate with 30 days' notice for any other reason, including business discontinuation.
- Upon termination, your right to use the Services ceases and we will delete your data within 60 days.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration in Delaware under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for IP infringement or breach of confidentiality.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Sending an email to your registered account address at least 30 days before the change takes effect
- Displaying a prominent notice in your dashboard
- Updating the "Last Updated" date at the top of this page
Your continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms.
